Upgrading Vista Ultimate to Windows 7 Ultimate Failing

Am Trying to Upgrade from Vista Ultimate 64 (All Updates incorporated) to Windows 7 64 bit.
Have no compatibility issues. Registry has been cleaned and optimised. Check Disk performed on c:\ (No errors)
Am performing the upgrade from the Administrator LogOn so User Control is not an issue.
System is backed up through Windows Home Server.
    System Details:
OS Name Microsoft® Windows Vista™ Ultimate
    Version 6.0.6002 Service Pack 2 Build 6002
    Other OS Description Not Available
    OS Manufacturer Microsoft Corporation
    System Name MAIN
    Motherboard ASUS
    Motherboard Model M3N78SE
    System Type x64-based PC
    Processor AMD Phenom(tm) II X4 940 Processor, 3000 Mhz, 4 Core(s), 4 Logical Processor(s)
    BIOS Version/Date American Megatrends Inc. 0602, 13/01/2009
    SMBIOS Version 2.5
    Windows Directory C:\Windows
    System Directory C:\Windows\system32
    Boot Device \Device\HarddiskVolume1
    Locale United Kingdom
Hardware Abstraction Layer Version = "6.0.6002.18005"
    User Name Main\Administrator
    Time Zone GMT Standard Time
Installed Physical Memory (RAM) 4.00 GB
    Total Physical Memory 4.00 GB
    Available Physical Memory 1.81 GB
    Total Virtual Memory 9.91 GB
    Available Virtual Memory 6.87 GB
    Page File Space 6.00 GB
    Page File I:\pagefile.sys

I run the setup programme, do online update (OK), Compatibilty Check (No Issues)
Programme then loads files (Creating three directories on C:\)
Immediately that files are downloded it goes to next action and immediatetely goes to:
    The Upgrade Was Cancelled
Any changes that were made to your computer during the upgrade will not be saved.
Setup can't continue, Restart the computer and restart Setup. When prompted try getting the latest updates.

Have tried over ten times with the same result on each occasion.

PLease do not suggest a clean install this is a home\office system and I haven't enough time left in my life to reload everything from scratch including all of the updating that goes with it on my 1.5mb broadband.

The end of the Panther Log (Full version available if required) is:

Pease help: I have been using Windows RC7 on another machine and found it excellent and a great improvement on Vista - but it looks as though I will be a prisoner of Vista for the future.

Click on Start->Run and type: WINVER

Does it say Ultimate or Home Prem?
    Does it mention 64bit?

One of the reasons why I always go fresh install, I have had to many issues upgrading, id rather deal with reinstalling every thing.
