i'm not sure how old you motherboard is, but i'm pretty sure that if it's more than 1.5 years, win98 will have trouble seeing past the physical 32Gb point of your 80Gb hard drive.

go into the bios and set the first boot device to cdrom(or it might me the name of the cd drive). save this config and then reboot with the drive in the device. with win98 you get several boot...

Could be bad RAM. If you've got other ram laying about or have more than one stick in the box, try swapping it around just to make sure that the Ram isn't at fault.

i don't think there is a command line to close the window..even exit doesn't work. i'm guessing you're using either win95 or win98, so this is what you do...highlight the batch file in an explorer...
