C/W means how may degrees celcius the temperature of your heatsink will raise by every watt of heatpower supplied.

So, the lower that value, the better/cooler.

    Example:

room temp is 20 deg C
    Processor dissipates 30 Watt
C/W of heat sink is 0.85

Your heatsink will end up at ((30 X 0.85)+20=)45.5 deg celcius theoretically
