Let me guess. You have Nortons running dont you. Not just the virus scan but the whole...

If that is the case, I have seen this alot. And yes.. as the post above states, it depends on what your running.

I've had it up to my earlobes with ME shutdown delay problems.
One big culprit is your network. My problems usually start after I configure the network. Be sure not to add protocols you don't need, and don't bind protocols to adapters that dosen't need them.
I could be wrong, but it seems like during shutdown, all these things have to be unloaded and it just takes forever.

I suggest you go through the Windows help shutdown troubleshooter. Could well be a driver issue. A while back I had a shutdown problem which was solved by upgrading from the ASUS drivers to nVidia drivers.

I finally figured out what was causing my ME shutdown problem.
For FILE AND PRINTER SHARING FOR MICROSOFTSOFT NETWORKS
i had LM ANNOUNCE set to yes.

It should have been set to NO. Now instead of taking almost 2 minutes to shutdown, it now takes 15 seconds.

I went to the microsoft website and did a search on " LM ANNOUNCE "and sure enough they had the problem documented.
Oddly enough it's not on their list of things to check for ME shutdown problems.

My PC wont shut down now either in ME. Fresh install no anything loaded yet. And it happend. the only dif is this time in bios I choose to let bios control devices by turning off plug 'N play OS.....The only option I see is for me to reinstall me with it on?????

This probably has nothing to do with your problem but, i have found another culprit in shutdown problems are USB devices.
Some usb devices will not shutdown when told to and will hang the system.

My dsl modem is a SpeedStream 4060 usb modem. my computer will not shutdown while it's attached. It took me a week to figure that one out. I've tried everything. nothing works. Only workaround is to unplug it before i shutdown, and that came from their tech support.

I've used it with 4 different pc and it hang all 4 of them.

Try shutting down with no external devices attached.
    You never know.

no that has nothing to do

I have it set to NO for PNP OS, and my win98 shuts down normally and very fast too

    it's definitely something else

99.9% due some software in the registry

What software would be in the reg. on a fresh install though other than what windows always puts there? Could it be my lan card. It gave probs. in ME so I didnt install drivers for it this time around....

The drivers that come with ME could themselves be the problem (believe it or not). But it could be any number of things, various device drivers, damaged sound file, virus software set to scan the floppy drive on shutdown etc. Again, the shutdown troubleshooter in Windows help and the Microsoft knowledge database have lots of things to check. You could also try creating and checking a shutdown log to see if a particular device shows up as being the culprit.
