I am running windows 98 2nd Ed. My 3Com modem is dialing by itself. There are no programs running and I cant stop it. It redials automically after about 2 min. I tried to ctrl/alt/delete to find the responsible program when dialing started but nothing was running that shouldn't be. I dont know how to stop my modem, please help.

Maybe Outlook is set to check mail every two minutes....but that wouldn't do it I guess, since the app isn't open when dialing. ummmm....let me think about it

I have seen anti-virus programs looking for updates do this, also Real Player and some of those messenger utilities like ICQ and AIM.
Next time you hear it make a connection, open up a DOS box and type:
netstat <enter>
You will get a listing of what your system is connected to, either an IP address or a URL will be listed.

I don't know if this would do it or not, but there a lot of freeware programs have little hidden things in them that send info. Collectively known as "spyware"; they are a pain. Go to http://grc.com/default.htm and download "OptOut". It will detect known spyware and eliminate it. It's a tiny program written in assembler code (like all of Steve Gibson's software). It is free until the commercial release. It cleared out a bunch of junk on my system. :-)

Does it happen at any specific time of day ?
Are you running task scheduler and have a task that might be doing it ?

IE might be dialing.
Here is an MS article re: updating "Supscriptions" in IE.4 ( it's called "syncronize" in IE 5)

pay particular attention to "Subscription Options"

to topic iniator- Looks like all the options have been covered. I did have one program that was attempting to access the Net without my knowledge,spyware.

I have experienced Subscription update running via task manager (WIn95) giveing me the same symtoms you described.
