I have no idea why I keep getting the pop up message says there is an error for my IE 5.0 on my Windows 98 SE machine and I have to restart my browser and then the pop up message shows up again. (Like a recurring cycle) So I decide to upgrade it to IE 5.5 and the same problem persists.
What can I do to fix the problem without formatting my Hard Drive.
Please advise and thank in advance.

Providing you have already exhausted your Win98SE or 3rd-Party diagnostic/repair tools:
I would try removing all traces of IE (5.0&5.5) from my system and reinstall W98SE over the top of itself.
You could also trip on over to www.98lite.com (http://www.98lite.com) and see if one of his IE removal tools can help out.
I was going to suggest you try Netscape6 but if you can't get online to download it...

Win98SE isn't that bad when you run IErad31 from www.98lite.com (http://www.98lite.com) through it and then re-install the IE 5.0 core on top. Of course it helps to run WinOptimizer2000 to clean things up and System Sentry to align everything.
gomcse -- I think CMonster is on the right track at straightening out your problem! You may also want to run your System File Checker to see if something is corrupted or changed that may be affecting your IE.
I've also seen badly fragmented HDD's cause funny things like this to happen. Have your ScanDisked and Defraged lately?
