Well I have done some searching but still I'm not sure. Tell me if I'm wrong but all I need is Two NIC's, Crossover cable, Tcp/Ip install on both, Proxy(Analogx Proxy). I think thats it. Also do any ISP's have a problem with this? I have earthlink and I know they make you pay more if you are loged in from two different places at once, Will they do the same thing for two ip addresses or will they not be able to see the sub-Ip?

That is all you basically need.

The ISP won't even be able to tell you have a second computer using the Internet since all traffic is through the single Internet IP address of your proxy computer.

If your just WWW browsing then the slowdown won't be that bad; maybe not even noticeable if the computers are requesting new WWW pages at different times.
If either (or both) computer(s) is downloading a large file then it willl seem very slow for both users.
