Can I connect 2 boxes using a crossover cable, (and NIC's of course)with one running NT4.0(NTFS) and the other running WindowsMe (FAT32), and have each recognize the other?
Will I be able to transfer files between them? Thanks!

Yes because the individual OS's actually do the file accessing. Not the remote computer, it only asks for the files.
