Have a Matsonic 5120 Motherboard.

I'm upgrading from P75 to P233 MMX and there's a Jumperor either P54C or P55C?

Any ideas...as there is no details in the brief motherboard doc!!

The Matsonic site has all the jumper settings you need to know about in their PDF manual.

You need to pay attention to jumpers: JP-10, the cpu selector; JP-8, the voltage selector; JP3, the bus speed; and JP11, the internal clock mutiplier.

The P55 setting is pins 2 and 3 jumped on both A&B on JP-10.

Like I said, these four jumpers are your concern.

Is a P233 MMX a CPU type P54C or P55C (JP10)?

I can not find any mention in the doc on how to set this jumper!

No problems for JP3 (66 Mhz), JP11 (1.5x), JP8 (2.8V).

Do you think I'll fry the CPU or motherboard if I set this jumper in-corectly?

The 233MMX is a P55C.

The jumpers are as mentioned above.

Pins 2 and 3 are jumpered on "A" of JP-10.
And
Pins 2 and 3 are jumpered on "B" of JP-10.

Simply stated one is where the core voltage is the same as the I/O voltage and the other is where the core voltage is different. If you look at an AMD part it always tells the voltage. All the modern stuff (MMX and such) use the lower core voltage or "split" voltage.
