What is going to be the main differances between these 2 cpu's if both are say 800mhz ? Thanks

On board cache. The Tbird has (correct me if I'm wrong) 256k of memory on the cpu, where the Duron has only 64k. Thus the price difference. The Tbird is able to use it's speed more effectively.
