Do you have a DSL modem?

I have the same problem but I discovered a workaround. My Windows won't shut down unless I have my DSL modem turned on. It's a bit of an annoyance but I can live with it, for now.

Hope this helps.

Try to disable ACPI in your BIOS. I had the same problem and this helped.

98 se is notorious for this.

My experience found conflicts with :

SMC 8014 network cards - patch would fix
Older creative soundcards - patch would not fix

I had the same problem on my computer at work for a couple years. I read a post about a great little utility called Windows washer to completely get rid of useless **** stored in temp. folders and others. After running it for the first time my computer shut down perfectly. I almost fell over. Should I call Bill?
