is there a simple solution to fix this?
or do I have to get more compatible and newer upgrade drivers for my modem.

I do notice that my connection is better than b4 (crappy but expensive 3com winmodem)
can anyone also explain the v.90 transfer and other protocols.. (if that is what they r)

you might try this

then download the program called Netstat Live . it is a little program that gives upload, download speed and the amount of cpu usage. it is only 225k so it shouldnt take very long.
