Had a bit of technical difficulty and seems like your post went poof, perhaps because I was editing my reply when it happened.
Anyway, if you are still having a problem with your modem, try checking the BIOS IRQ settings and see if you can reconfigure in there.

there is a 'use modem irq' setting: options are 3,4,5,7,9,10,11,NA. currently set to 10
what should I set it to ?

Do you have a manual? It will tell you which IRQ your modem needs (didn't you say previously 9, 10, 11) Did you check jumpers/dip switches on back of modem (if your modem has them)?
Otherwise, you may have to go thru the process of removing (from Control Panel/Modems/Remove or Control Panel/Device Manager)your modem and reinstalling; or, removing the soundcard and reinstalling, or both. Perhaps removing/reinstalling COM port(s) too. Then again, this isn't a guarantee either - could/could not work, but worth a try first since Win98 (and I assume your modem) is Plug n Pray).
look at:
Control Panel/Modems/General/Dialing Properties. If you have call waiting, disable it.
Properties/General - make sure your correct COM port is listed, set your max speed to 115200 (or highest)(Later you can correlate this in your WIN.INI and edit line for your modem com port as follows: COM#=11520,n,8,1,p.)
Connection: Data bits - 8; Parity - None; Stop bits - 1.
Port Settings: Check Use FIFO
Advanced: Check Use Error Control; Check Compress Data; Check Use Flow Control + Hardware.
Modulation type: Standard
Extra Settings: try: S10=225 (helped me with a better connection)
For example, my 3Com/USR 56k faxmodem is on COM4 (IRQ11), I/O range is 02E8-02EF.
Also check that you have windows driver:
C:\Windows\System\VMM32.vxd (vcomm.vxd)
Also 'wsock.dll' at least version 1.01, preferrably version 2.2
