I am running win98,if I overlay it with the winxp upgrade pack ,can I then convert it from fat32 to ntfs.

yep.

run this after doing the upgrade:
convert c: /fs:ntfs

Most of the knowledgeable advice is to do a clean installation of XP, and not to upgrade it from Windows 98, because the two OS have completely different architectures.

An upgrade of this kind can be a source of problems because plenty of Windows 98 is left behind to confuse matters.

You could help your cause if you have to upgrade by cleaning up your sys first. Such as removing apps you don't need anymore, empty your internet cache, run adaware to get rid of spyware, disable your antivirus for the the upgrade and run scandisk and do a defrag lastly. This will help the upgrade process.

Or you could just trade everything in for an abacus and a legal pad and be done with all the upgrade ****!
