I need Digital Camera recommendations

I decided I have about $200-300 to spare in my quest to save for a car. I've wanted a digicam for years and would be REALLY convenient.
I recall a thread last year about Olympus cameras being good (daveleau's thread?). Anyways, I went to CNET to see what they thought.

The Olympus D-360L was the best pic BUT I wanted zoom and a bit better pic quality. I then spied the 3rd choice, D-460L Zoom. The lowest price is $265 with $10 shipping.
Does it matter what vender I buy it from? I mean, the really popular vendors have it for over $300!!! Why buy it from them?

It comes with an 8mb memory chip. I can upgrade this, right? Does, say, a 32mb chip fit in the same slot? About how many pics can I expect at a decent image quality?
