I have a WinXP Pro disc (already installed on one PC).
I know I can purchase licence keys, cheaper than the box product.
I was wondering if it is possible to use the XP Pro OEM Student licence/key with a XP Pro Upgrade disc?

Perhaps I should be a bit more specific.
I have no doubt as to whether or not I am eligible to use the key.
The question come to if I CAN (as in physically) use the key.
The question comes to mind because I have handled previous versions on Win9x before (upgrade, full, and OEM) and the OEM versions could not even accept the codes for the other (part of the key included the entry, 'OEM'.
To my findings, the MS site gives no indication or clue to this predicament. :x
Will the key I acquire with a WinXPPro oem Student licence be accepted by a store-bought WinXPPro Upgrade disc?

the XP upgrade edition is for use with a previous windows operating system (windows 98, 98se, me,)
You can not upgrade windows XP to windows XP. Once you have windows XP you already have it.:D

not really.
I have it on one computer.
I have another computer that i want XP on.
No reason to buy a packaged box when nearly half the price is for the luxury of owning another shiny MS - burnt CD.
No you wont' be able to. Microsoft uses different keys for OEM versus retail in XP too.
You could always try it, the only thing you'll lose is time, because it may take the key initially, but probably won't activate when you try to activate it.

That's right
the CD key will compare itself againts the CD bar codes labels itself, to see if it matches for the version it was intented for
so it's most likely that it'll not work

As Curious31 says, this (http://www.microsoft.com/education/default.asp?ID=OpenCalculator#calc) is the only LEGAL way to do what you're asking.

Had a feeling about that.
Ah yes, to clarify on things one does NOT have to buy several licences to be legal. Furthermore, what I had is mind is not only completely legal, but in compliance with MS's 'policies'.
Anyhoo,
I'll have to check out the college bookstore and see what their price is.
