Please someone tell me what the problem is with this thing. I'm ready to junk it!! Here's the setup:

A7V266-E mobo
Athlon xp 1600 processor with ThermalTake cooling fan
512 MB DDR RAM
Creative PC-DVD 16xRom drive
20GB westerndigital HD
NVIDIA Gforce4 video card

I have set all and I mean all the jumpers to thier default except for the cpu which is set for the palo_freq which is set to 1-2 for Palomino(I've already tried 2-3). No matter what I try to do (even just to look at the Bios setup) after about 20 seconds or so the computer locks up and the screen goes blank. My monitor light starts flashing as if the unit has been shut off. I can't even load my WIN98 startup disk before it cuts out. When I finally get the thing to boot back up the Bios comes on saying the system locked due to incorrect cpu speed. The speed is automatically set to 1050mhz(won't even attempt to go higher) and it still cuts out. What the hell can be the problem? Bad mobo? bad cpu? I've really had it!! I mean I haven't even been able to install XP yet let alone all the other stuff that I have. Any suggestions, tips?? I'm down to the last straw over here.

Are you using a 133MHz FSB or 100MHz?

After 20 seconds, I'd say CPU overheating. Check your fan/heatsink, also see to it that it's mounted properly, thermal paste and all.

The fan/heatsink is on there properly. I removed it and placed it back twice already just to be sure(a pain in the a** job).

Change the FSB to 133MHz and use a 10.5x multiplier.

Can't even get to the Bios setup now. Hangs before it even lets me select F1 for setup menu.

Unplug it. Go get some coffee and then come back and clear CMOS. Check one more time to see if the heat sink is sitting flush. Use a small mirror and a flashlight if you must. Not being able to get into BIOS is a heat sign. Place your hand on the heatsink. It should be hot. If it's cold, it isn't coupled.

Actually I think that is the problem. I never felt the heatsink get hot at all. Also, I got to the setup screen and was watching the cpu temp. It kept going up .5 degrees from 39C and cut off when it got to 49.5C. I just ordered two Thermaltake Volcano 7 and some thermal compound. I'm gonna replace the whole thing when it comes in and clear the CMOS. I'll post the results when i'm done. Hopefully this will clear it up. Thanks for all the suggestions.

... and maybe remove the protective tape from the heatsink's underside this time :)
