Cant help you with the win98 problem,

however concerning win2k, you could try removing the troublesome modem from the system during boot up see how that work (you never know), apart from that if its just a blank install of win2k with noother info on the partition, having too much time on my hands (as i do), i'd just format the partition and reinstall win2k... see what happens - if you get the same error its obviously someting a little bit deeper.

I have solved the problem with modem..I pulled the modem out of the PCI slot and installed win98,then I put it back and install driver IT WORKS NOW :)

The problem with 2k. The machine is overclocked so I had to load optimized defaults in bios....result: while installing win2k no message ***the system has halted...***, everything goes fine (win2k installed successfully), EXCEPT that I can't set up old overclocked parameters, when I do that The computer won't start...simply nothing. When I pull it out of the wall it starts but with old optimized defaults... NOW WHAT?
